1. Agreement to Terms

By accessing and using the services of JCR Web Solutions ("we", "us", or "our"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, and clients of JCR Web Solutions services, including but not limited to website design, development, maintenance, and hosting services.

2. Services Description

JCR Web Solutions provides:

  • Custom website design and development
  • Website redesign and modernization
  • Website maintenance and hosting services
  • Related web development and consulting services

Specific services, deliverables, timelines, and pricing will be outlined in individual project proposals and contracts.

3. Project Process

3.1 Discovery & Proposal: After initial consultation, we provide a detailed proposal including scope, timeline, and pricing.

3.2 Acceptance: Projects begin upon receipt of signed agreement and initial deposit payment.

3.3 Development: We develop your project with regular updates and opportunities for feedback.

3.4 Revisions: Projects include a specified number of revision rounds as outlined in the proposal.

3.5 Launch: Upon final approval and full payment, we launch your website and provide training.

4. Client Responsibilities

As a client, you agree to:

  • Provide all necessary content, materials, and information in a timely manner
  • Respond to requests for feedback and decisions within agreed timeframes
  • Ensure you have rights to all content provided (text, images, logos, etc.)
  • Make payments according to the agreed schedule
  • Provide accurate contact information and maintain communication
  • Comply with all applicable laws and regulations regarding your website content

Delays in providing materials or feedback may result in project timeline extensions.

5. Intellectual Property Rights

5.1 Client Content: You retain all rights to content you provide (text, images, logos, branding).

5.2 Developed Work: Upon full payment, you receive ownership of the final website and custom code developed specifically for your project.

5.3 Third-Party Components: Websites may include third-party libraries, frameworks, or plugins subject to their own licenses.

5.4 Our Rights: We retain rights to:

  • Development techniques, methodologies, and general code approaches
  • Use the project in our portfolio (with your permission)
  • Reuse general components and non-custom code in future projects

6. Payment Terms

6.1 Payment Schedule: Unless otherwise agreed, payments follow this structure:

  • 30% deposit upon project acceptance
  • 40% at midpoint milestone
  • 30% upon completion before launch

6.2 Payment Methods: We accept bank transfer, PayPal, and card payments via Stripe.

6.3 Late Payments: Invoices are due within 7 days. Late payments may result in:

  • Project work being paused until payment is received
  • Late fees of 5% per month on overdue amounts
  • Suspension of hosting/maintenance services

6.4 Deposits: Deposits are non-refundable but can be transferred to future services.

6.5 Additional Work: Work beyond the agreed scope will be quoted separately and requires approval before proceeding.

7. Revisions and Scope Changes

7.1 Included Revisions: Projects include a specified number of revision rounds as outlined in your proposal (typically 2-3 rounds).

7.2 Additional Revisions: Revisions beyond the agreed scope will be charged at our hourly rate (£50/hour).

7.3 Scope Changes: Significant changes to project scope require a new proposal and may affect timeline and pricing.

7.4 Change Requests: All change requests should be submitted in writing for clarity and documentation.

8. Timeline and Delivery

8.1 Estimates: Project timelines are estimates based on timely client feedback and content provision.

8.2 Delays: Timelines may be extended due to:

  • Delayed client feedback or content
  • Scope changes or additional revision requests
  • Technical issues beyond our reasonable control
  • Force majeure events

8.3 Communication: We will keep you informed of progress and any timeline adjustments.

9. Warranties and Limitations

9.1 Our Warranties: We warrant that:

  • Services will be performed with professional skill and care
  • Websites will function as intended at the time of launch
  • We have the right to provide the services offered

9.2 We Do Not Warrant:

  • Specific business results, traffic, or revenue from your website
  • Uninterrupted or error-free service (we strive for 99.9% uptime)
  • Compatibility with all future browsers or devices
  • Protection against all security threats (though we implement best practices)

9.3 Limitation of Liability: Our liability is limited to the amount paid for the specific service in question. We are not liable for indirect, consequential, or incidental damages.

10. Maintenance and Support

10.1 Post-Launch Support: All projects include 30 days of post-launch support for bug fixes and technical issues.

10.2 Ongoing Maintenance: Optional maintenance packages available from £20/month including:

  • Hosting and technical support
  • Security updates and backups
  • Content updates (based on package tier)
  • Performance monitoring

10.3 Termination of Maintenance: Maintenance services require 30 days notice to cancel. We will assist with migration if needed.

11. Termination

11.1 By Client: You may terminate the project at any time with written notice. You will be charged for:

  • All work completed to date (at £50/hour)
  • Non-refundable deposit
  • Any third-party costs already incurred

11.2 By Us: We may terminate if:

  • Payments are more than 30 days overdue
  • You breach these terms materially
  • You provide false or misleading information
  • Working relationship becomes untenable

11.3 Upon Termination: We will provide all completed work and files. Outstanding invoices remain due.

12. Confidentiality

We will keep confidential any sensitive business information you share during the project. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law. We may use the project in our portfolio unless you specifically request otherwise.

13. Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

  • Content you provide that infringes third-party rights
  • Your use of the website in violation of laws or regulations
  • Your breach of these terms
  • Products or services you offer through your website

14. Dispute Resolution

14.1 Informal Resolution: In the event of any dispute, we encourage contacting us first to resolve the matter informally.

14.2 Mediation: If informal resolution fails, we agree to attempt mediation before legal action.

14.3 Governing Law: These terms are governed by the laws of England and Wales, and disputes will be subject to the exclusive jurisdiction of the English courts.

15. General Provisions

15.1 Entire Agreement: These terms, along with any project-specific agreements, constitute the entire agreement between parties.

15.2 Amendments: We may update these terms. Existing projects continue under the terms in effect when they began.

15.3 Severability: If any provision is found invalid, the remainder continues in effect.

15.4 No Waiver: Failure to enforce any right does not waive that right.

15.5 Assignment: You may not assign these terms without our written consent. We may assign to a successor business.
